Profile:

Mrs. Tatianna Martínez-Rosa joined the Firm in 2007 as an Associate in the Corporate & Real Estate Department. She has been exposed to and participated in general corporate practice and the representation of local and international corporations in acquisition transactions, both asset acquisitions and stock purchases.  She also has experience in corporate matters, commercial contracts and the formation of corporations and other legal entities.

Mrs. Martínez-Rosa has participated in several complex transactions, involving corporate reorganizations and mergers acquisitions. She has also been responsible for the drafting and preparation of multiple legal documentation such as operating agreements, confidentiality agreements, indemnity agreements, settlement agreements, commercial lease agreements, distribution agreements, purchase agreements, letters of intent, option agreements, shareholder agreements, due diligence memoranda, and various types of deeds involving real estate transactions and notary law. Mrs. Martínez-Rosa has ample knowledge in corporate governance and organization, documents, trademarks and intellectual property.

In addition, Mrs. Martínez-Rosa has been exposed to, and participated in,  multiple commercial and corporate financing transactions, representing lenders, responsible for drafting and preparing loan agreements, promissory notes, security agreements, pledge agreements, guaranty agreements, and mortgages. She has also represented lenders in loan work outs, forbearance agreements, foreclosures and judicial sales.
